BLACK CHRONOS (BC IN THE FOLLOWING) GRANTS YOU A SINGLE LICENSE TO USE THIS SOFTWARE PRODUCT IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. PLEASE READ THE FOLLOWING LICENSE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT YOU ARE NOT ALLOWED TO INSTALL A COPY OF THIS SOFTWARE PRODUCT ON YOUR SYSTEM.
1. Technical Support

2. License
You may:
(a) install and use the software product for your private use on computers which are under your ownership or control and which meet the specifications outlined in the manual;
(b) transfer the software from one computer to another provided that each computer which uses the software is under your ownership and control at the time of using the software;
(c) transfer the complete software product (including all documentation) and the benefit of this license agreement to another person provided that such person has agreed to accept the terms of this license agreement and you transfer all copies made in support of your use of the product to this person or destroy all copies not transfereed. If any recipient does not accept these terms then this license agreement shall automatically terminate.
All rights not expressly granted under this agreement are, to the extent permitted by applicable law, reserved to BC and its licensors. Your rights of use under this license agreement are strictly subject to your compliance with the terms and conditions contained in this license agreement.
3. Restrictions
You agree not to:
(a) load the software product onto a network server for the purposes of distribution to to one or more computer(s) on that network or to bring into effect such distribution;
(b) rent, lease, sub-license, loan, exploit for profit or gain, copy, modify, adapt, merge, translate, reverse engineer, decompile, disassemble the software product or create derivative works based on the whole or any part of the software product or use, reproduce or deal in the software product or any part thereof in any way, except as expressly permitted by this license agreement and save and to the extent in the circumstances expressly permitted by applicable law;
(c) pass on the BC account which you use and through which you purchased this product to other persons without assigning your rights to the use of the products. This only applies to copies of this software product that have been purchased directly through the BC online shop (Black Store).
4. Termination
Without prejudice to any other rights, BC may terminate this license agreement with immediate effect if you fail to comply with the terms and conditions of this license agreement. In the event of termination of this agreement, you must destroy all copies of the software product and all of its components including any copies saved on computer hard disks. All terms of this license agreement with respect to non-liabilities, liability restrictions, legal remedies or indemnity as well as BC’s proprietary rights shall continue in force after any termination.
Misuse of your personal account will result in the immediate termination of the account and legal prosecution.
5. Ownership
You only own the recording medium on which the software product is recorded. BC and/or its licensors shall at all times retain ownership of the software product as recorded on the recording medium and all subsequent copies regardless of form.
6. Limited warranty and exclusions
6.1 LIMITED WARRANTY
This limited warranty is in force alongside the statutory warranty regulations without limiting them.
BC warrants to the original purchaser of this software product that the download is available to the purchaser for a period of ninety (90) days from the date of purchase. This only applies to copies of this software product that have been purchased directly through the BC online shop (Black Store).
The purchaser is granted the right to make a backup copy of the purchased download to a CD, DVD, USB stick or similar storage devices FOR SAFETY PURPOSES.
6.2 The limited warranty according to paragraph 6.1 is void if a traceable misuse of the account has been committed.
6.3 THE LIMITED WARRANTY ACCORDING TO 6.1 DOES NOT APPLY TO THE SOFTWARE PROGRAMS THEMSELVES, WHICH ARE MADE AVAILABLE WITH NO WARRANTIES WHATSOEVER. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BC AND ITS LICENSORS DISCLAIM ALL OTHER REPRESENTATIONS, WARRANTIES, CONDITIONS AND OTHER TERMS, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARDS TO THE SOFTWARE PRODUCT AND EACH AND EVERY PART THEREOF. WITHOUT PREJUDICE TO THE GENERALITY AND VALIDITY OF THE FOREGOING, BC NEITHER WARRANTS THAT THE SOFTWARE PRODUCT IS ERROR-FREE NOR THAT IT IS FUNCTIONAL WITHOUT INTERRUPTION NOR THAT ERRORS IN THE SOFTWARE PRODUCT WILL BE CORRECTED.
6.4 IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(A) IN NO EVENT SHALL BC OR ITS LICENSORS BE LIABLE FOR ANY DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES FOR PERSONAL INJURY, LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF THIS SOFTWARE PRODUCT OR INABILITY TO USE THIS SOFTWARE PRODUCT, EVEN IF BC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) BC’S AGGREGATE LIABILITY AND THAT OF ITS LICENSORS UNDER OR IN RELATION TO THIS AGREEMENT OR THE USE AND ATTEMPTED USE OF THIS SOFTWARE PRODUCT SHALL IN ANY CASE BE LIMITED TO THE AMOUNT PAID FOR THE SOFTWARE PRODUCT.
6.5 No term or condition contained in this agreement shall limit or exclude BC’s liability to you in negligence for death or personal injury, to the extent such exclusion or limitation is unlawful, unenforceable or void under any applicable law.
6.6 Some jurisdictions do not permit the warranty disclaimers or limitations on liability set forth in paragraph 6. The terms and conditions in paragraph 6 shall not affect your statutory rights which may vary from state/jurisdiction to state/jurisdiction.
7. Governing Law
7.1 This license agreement and any claim or dispute of whatever nature arising out of or relating to this license agreement shall be governed by, and construed in accordance with, the laws of Germany, unless and to the extent only that the laws and/or jurisdiction relating to transactions with end-users in a particular jurisdiction require this license agreement to be governed by and construed in accordance with the laws of such jurisdiction in order for this license agreement to be binding and enforceable, in which event the local laws and/or jurisdiction of such jurisdiction shall apply, to the extent so required.
8. Miscellaneous
8.1 If you purchased this software product in the United Stated of America you shall not export or re-export it, unless the laws and regulations of the United States of America authorize or permit this.
8.2 This license agreement constitutes the entire agreement between BC and you with respect to the licensing and use of the software product and supersedes all prior or contemporaneous understandings. No amendment or modification of this license agreement will be binding unless made in writing and signed by a duly authorized representative of BC.
